NAVA 60 Flag Design Contest Terms & Conditions
Intellectual Property and Usage Rights
By submitting your flag design for NAVA 60 ("Design") to the North American Vexillological Association (the "Organizer"), you agree to the following legally binding terms regarding your intellectual property:
1. Assignment and Transfer of Copyright
You hereby assign, transfer, and convey to the Organizer all worldwide right, title, and interest in and to the Design, including, without limitation, all copyrights and other intellectual property rights.
- The Organizer shall be deemed the sole owner of the Design, if the Design or any aspect or part of it is chosen or included in the final flag.

You agree to execute any additional documents reasonably required by the Organizer to formalize or perfect this transfer of ownership.
2. Scope of Use and Reproduction
As the new owner, the Organizer shall have the perpetual, irrevocable, and unrestricted right to use, reproduce, modify, display, publish, and distribute the Design, in any manner and in all media now known or hereafter devised, globally. This includes:

Production: Manufacturing and selling physical flags, banners, merchandise, and promotional items.

Modification: Making any alterations, adaptations, or derivative works of the design (e.g., logos, conference branding).

Promotion: Using the design for all marketing, publicity, and archive purposes related to the conference and its successors.
3. Designer Warranties and Indemnification
You represent and warrant that:

The Design is entirely your original work and has not been copied from any other source or been generated by artificial intelligence.

The Design does not infringe upon any third party’s rights, including copyright, trademark, privacy, or moral rights.

You are the sole owner of all rights being assigned and have the legal capacity to enter into this agreement.
4. Compensation and Waiver of Claims
You acknowledge that your submission is voluntary and is made in exchange for the opportunity to have your work considered by the Organizer. You understand and agree that:

You will not receive any financial compensation, royalties, or residual payments for the Organizer's use of the Design, now or in the future.

By submitting, you waive all claims against the Organizer for any moral rights or any other legal rights in the Design, other than the right to be credited as the original designer (if your design is selected).
5. Eligibility and Age Requirement

Minors: If a submitter is a minor (under 18) but their design is selected, the Organizer reserves the right to require the minor's parent or legal guardian to sign a separate, legally binding Copyright Assignment and Release Form on behalf of the minor before the design can be officially used. Failure to provide this signed release will result in the disqualification of the design.
Governing Law and Jurisdiction
- Governing Law: All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions shall be governed by and construed in accordance with the laws of Massachusetts and the laws of the United States of America, without giving effect to any choice of law or conflict of law rules.
- Dispute Resolution: By entering, you agree that any legal action or proceeding arising out of or relating to this contest or these Terms and Conditions shall be instituted exclusively in the federal or state courts located in Massachusetts. You waive any objection to the laying of venue in such courts and agree to submit to the personal jurisdiction of such courts.
- Contest Territory: The contest is void where prohibited by law. By submitting, you affirm that your entry into this contest does not violate any local laws or regulations in your place of residence.
